Terms of Service

PlanThread is provided by Duckham Meridian Group Limited, trading as DMG (“DMG”, “we”, “us”), a company registered in England and Wales. “Customer” or “you” means the organisation that creates a PlanThread workspace, and “Users” are the people it invites.

By creating an account or using PlanThread you confirm that you have authority to accept these terms on behalf of the Customer. PlanThread is a business-to-business service and is not offered to consumers.

PlanThread is an inventory optimisation and MRP planning service. It works standalone or alongside your ERP. We may improve, add or change features over time. We will not materially reduce the core functionality of a paid plan during a billing period.

• Keep sign-in details confidential and use two-factor authentication where your organisation requires it.
• You are responsible for activity under your Users’ accounts and for removing access when someone leaves.
• Tell us promptly at [email protected] if you suspect unauthorised access.

New workspaces get a 14-day free trial with no card required. To keep using PlanThread afterwards you need a paid plan.

Paid plans are billed via the DMG Account Centre at dmg-limited.com. Card details are handled by DMG's payment provider. Prices, billing intervals, invoices, upgrades, downgrades and cancellation are managed there and shown before you buy. Subscriptions renew automatically until cancelled; cancellation takes effect at the end of the current billing period. Fees are exclusive of VAT unless stated otherwise.

If a payment fails we may limit the workspace to read-only or suspend access after giving notice in the app.

You must not:

• use PlanThread for anything unlawful, or upload content you have no right to use
• try to break, probe or overload the service, bypass security controls or access other customers’ data
• reverse engineer the software except where the law allows
• resell or provide the service to third parties without our written agreement
• use the public API beyond its documented rate limits or share API keys outside your organisation

We may suspend access that threatens the security or stability of the service, and will tell you why.

You own the data you put into PlanThread (“Customer Data”). You give us permission to host and process it only to provide, secure and support the service. For personal data within Customer Data, you are the controller and DMG is your processor under our Data Processing terms, which form part of these terms. How DMG handles its own personal data is described in our Privacy Policy.

You can export your data at any time. After a subscription ends we keep the workspace for 30 days so you can export it, then delete it. Backups roll off within 35 days.

PlanThread produces forecasts, risk scores and AI-generated suggestions. They are decision support: a person reviews and approves changes, apart from auto-replenishment rules your planners configure and control. You remain responsible for purchasing, production and stock decisions. Recommendations depend on the accuracy of the data you provide.

Integrations you enable (for example your ERP, accounting system, Microsoft Teams or Slack) are governed by the terms of those providers. We are not responsible for their availability or for data once it leaves PlanThread at your request.

We aim to keep PlanThread available at all times apart from planned maintenance, which we try to schedule outside UK business hours. Support is available by email at [email protected].

DMG owns PlanThread, its software, design and documentation. We grant you a non-exclusive, non-transferable right for your Users to use the service during your subscription. Feedback you give us may be used to improve our products. See Copyright & IP.

Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.

Subject to that, neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss. Each party's total liability in any 12-month period is limited to the fees the Customer paid for PlanThread in that period.

The service is provided with reasonable skill and care. Beyond that, and to the extent the law allows, we do not give other warranties, including that forecasts or recommendations will be accurate or that the service will be error-free.

You can cancel at any time from the DMG Account Centre. We may end or suspend the service if you materially breach these terms and do not fix the breach within 14 days of notice, or immediately for serious security or legal risks. Sections that by their nature should survive termination (including data, confidentiality, liability and IP) continue to apply.

We may update these terms. We will give at least 30 days' notice of material changes in the app or by email. Continuing to use PlanThread after a change takes effect means you accept it.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Neither party is liable for delays caused by events beyond its reasonable control. If any part of these terms is found unenforceable, the rest remains in force.
